These terms govern your use of our services, including Web Development, Search Engine Optimization (SEO), and Search Engine Marketing (SEM). Please read them carefully before using our services.

Definitions

In these Terms and Conditions, the following terms shall have the following meanings:

• “Services” refers to Web Development, SEO, SEM, or any other services provided by JP Ventures..
• “Client” refers to the individual or entity who engages JP Ventures. to provide services.
• “Agreement” refers to the contractual agreement between JP Ventures. and the Client regarding the provision of services.
• “Deliverables” refers to the tangible and intangible products, services, or results produced by JP Ventures. as part of the contracted services.

Web Development Service

Our web development services include the design, creation, and maintenance of websites. By contracting our web development services, you agree to the following terms:

• You agree to provide all necessary content, including text, images, videos, logos, and branding assets, to allow us to complete the project.
• The final product will be delivered as outlined in the project scope. Any changes or additions to the scope may incur additional fees.
• You will ensure that all content provided does not infringe upon the intellectual property rights of others and complies with applicable laws.
• We will perform quality assurance tests before delivering the final product. However, we are not responsible for issues arising after project completion due to third-party integrations or hosting services.
• Payment for web development services must be made in accordance with the payment schedule specified in the contract. Late payments may result in project delays or suspension.

Search Engine Optimization (SEO) Service

Our SEO services are aimed at improving the visibility of your website on search engines. By using our SEO services, you agree to the following terms:

• We will conduct keyword research, optimize your website content, and build links to improve your search engine rankings.
• We do not guarantee specific rankings on search engines. SEO results are influenced by many factors, including competition, search engine algorithms, and website authority.
• You agree to provide access to relevant accounts, such as Google Analytics, Search Console, and Content Management System (CMS), to facilitate SEO optimization.
• We may recommend changes to the structure and content of your website, and you are responsible for implementing those changes unless otherwise specified in the agreement.
• We will provide periodic reports, but you understand that SEO results can take time to manifest and may require ongoing adjustments.

Search Engine Marketing (SEM) Service

Our SEM services are focused on managing paid search advertising campaigns to increase traffic to your website. By engaging in SEM services, you agree to the following terms:

• We will create, manage, and optimize paid search campaigns on platforms such as Google Ads, Bing Ads, and other relevant advertising platforms.
• You are responsible for funding the ad spend in addition to any fees charged for campaign management services. JP Ventures. is not responsible for the actual ad spend, which is handled directly by the client.
• We will provide regular campaign performance reports, but you understand that paid advertising results may vary based on budget, targeting, competition, and market conditions.
• All campaigns must comply with advertising platform policies, local laws, and regulations. You are responsible for ensuring that your advertisements do not violate these rules.
• We do not guarantee specific results, such as a set number of conversions, clicks, or return on investment (ROI).

Payment Terms

By engaging JP Ventures. for any service, you agree to the following payment terms:

• Invoices will be issued as per the agreed payment schedule and are due within 30 days of the invoice date unless otherwise specified.
• Late payments may result in suspension or termination of services, and a late fee may be assessed for overdue amounts.
• All payments must be made in the currency specified in the contract and through the payment method agreed upon.
• If any payment is disputed, you must notify JP Ventures. in writing within 15 days of the invoice date.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the course of this agreement. This includes business strategies, trade secrets, client data, and any information labeled as confidential.

Limitation of Liability

JP Ventures. will not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services. Our liability is limited to the amount paid by you for the services rendered during the six months prior to the event giving rise to the claim.

Termination

Either party may terminate this agreement with written notice. In the event of termination, you will be liable for any work completed up until the termination date, and you will be responsible for any costs incurred as a result of the termination.

Governing Law and Dispute Resolution

This agreement shall be governed by the laws of New Zealand. Any disputes arising from or related to this agreement shall be resolved through binding arbitration in accordance with the rules of the New Zealand International Arbitration Centre (NZIAC).

Amendments

JP Ventures. reserves the right to modify these terms and conditions at any time. Changes will be communicated to you, and your continued use of our services after such modifications will constitute your acceptance of the updated terms.
